Michael J. Tarutis, Esquire, has been in private legal practice since 1997, advising start-up and emerging companies on regulatory matters, corporate governance, corporate securities, SEC regulatory filings and other matters.
He has drafted and assisted in fulfilling private placements (more than 82 PPMs drafted) for the financing of start-ups and publicly-traded companies utilizing private placements for specified projects and joint ventures.
Throughout his career, he has focused on the capitalization of companies and enterprises, working with a number of Wall Street firms in the design of capital structures and financing through equity and bond issuances.
Most recently he was an Assistant Professor in the Economics and Business Department at Washington and Jefferson College, teaching courses on Entrepreneurship, Corporate Finance and Start-Up Finance, from 2011 to 2018. Mr. Tarutis is a member in good standing of the California Bar.
